Stanislav Lastovsky leads Vetrov & Partners' Restructuring & Insolvency and Corporate Governance practices. He read law at Novosibirsk State University (NGU), graduating in 2014, and has practised since that year. He acts exclusively on the creditor side in Russian insolvency proceedings — never for debtors or insolvency administrators — and advises foreign shareholders on governance enforcement, shareholder dispute resolution, and exit arrangements in Russian companies.

His insolvency practice covers the complete creditor-side lifecycle: claim filing within statutory deadlines, transaction challenges under Articles 61.2 and 61.3 of the Federal Insolvency Law, subsidiary liability proceedings against controlling persons under Article 61.11, creditor meeting attendance and voting advisory, and cross-border insolvency coordination where the creditor is represented by overseas counsel. His corporate practice extends to IP disputes, including proceedings before the Intellectual Property Court, where he has successfully challenged third-party IP registrations. He has managed instructions from the initial claim-filing stage through to subsidiary liability enforcement against directors' personal assets.

In his corporate governance practice, he advises foreign shareholders on the enforceability of governance arrangements in Russian companies, manages shareholder dispute proceedings, and advises on exit advisory for foreign participants in Russian limited liability companies and joint-stock companies.

Acted for the owner of the "Профессоръ Бутаковъ" trademark in a two-year infringement dispute requiring proof of infringement and proof of structural links between formally independent entities of the defendant. After losing at first instance and on appeal, the matter was taken to the Intellectual Property Court, which found in the client's favour. Compensation of 500,000 RUB was ordered for unauthorised use of the mark.
Reviewed JV charter and shareholders' agreement for Russian-law enforceability. Identified structural gaps in the governance arrangements and advised on revised charter provisions to protect the foreign shareholder's position.
Corporate exit — LLC participant (2023).
Advised foreign participant on exit from Russian LLC following breakdown of JV relationship. Exit price achieved exceeded the company's initial offer by approximately $111K. Exit completed without judicial proceedings.

Trademark dispute — IP Court — 500,000 RUB compensation obtained
Subsidiary liability defence — 4.5 million RUB claim rejected in full
Acted for a company participant and former director facing a subsidiary liability claim in bankruptcy proceedings. The opposing party contended that the director's management decisions had caused the company's insolvency. We demonstrated the absence of any causal link between the director's conduct and the insolvency, and the absence of any obligation to file for bankruptcy at the time alleged. The court rejected the claim in full.
Insolvency cassation — director defence (2024).
Defended company director in cassation proceedings under Article 61.11. The personal liability claim — valued at approximately $200K — was dismissed by the cassation court on causation. The matter was not remitted.
